Terms of Use

Version v1.6-2026-10-04 · Last updated 4 October 2026

Part A: Introduction

1. Who we are and how to reach us

Padel Genie is operated by Breakfast Enterprises Ltd, a company registered in England and Wales under company number 11414686, with its registered office at Flat 17, Scholars House, 36 Glengall Road, London NW6 7GF. VAT registration number GB 308 967 466.

In these terms, "we", "us" and "our" mean Breakfast Enterprises Ltd trading as Padel Genie. "You" and "your" mean the person or organisation accessing the Platform.

Contact us at hello@padelgenie.io. Notices sent to that address are validly served on us.

2. What these terms cover, and what takes priority

These terms govern your access to and use of padelgenie.io, map.padelgenie.io, any subdomain, application or interface we operate under the Padel Genie name, and all data, reports, exports, alerts and emails we supply through them (together, the "Platform").

Part B applies to everyone, including free account holders and any visitor. Parts C and D apply only where you hold or have held a paid subscription. Parts E to G apply to everyone.

Where we issue you an order form, quotation, proposal, statement of work or invoice that you accept, and anything in it conflicts with these terms, that document prevails for the conflicting point only. Site sourcing engagements are governed by a separate sourcing agreement, which prevails over these terms in full for the services it covers.

Our Privacy Policy explains how we handle personal data, including cookies and similar technologies. It is a notice to you rather than part of this contract.

3. Definitions

Business Customer means a person or organisation accessing the Platform wholly or mainly for purposes relating to a trade, business, craft or profession.

Consumer Customer means an individual accessing the Platform wholly or mainly for purposes outside any trade, business, craft or profession.

Contact Data means information identifying or relating to a natural person that is made available through the Platform, including names, job titles, business email addresses, telephone numbers and professional profile links.

Credits means the unit of account used to unlock individual fields within Deal Book.

Deal Book means the venue, planning application and contact records surface within the Platform, and any successor to it under a different name.

Derived Output means anything you create using the Platform that materially embodies our selection, arrangement or analysis of data, including exports, extracts, screenshots, copies, charts and summaries.

Estimates means any figure on the Platform that is modelled, inferred, scored, projected, aggregated, banded or otherwise calculated by us rather than taken verbatim from an official public record, including occupancy, revenue, catchment population, demographic profiles and fit scores, travel times, approval likelihoods and build stage.

Machine Processing System means any model, tool, agent, pipeline or service that applies machine learning, statistical learning, generative artificial intelligence, large language models, embeddings, vector indices or comparable techniques for training, fine tuning, evaluation, inference, retrieval, classification, indexing or storage, whether you built it, licensed it, or accessed it as a service, and whether used internally or exposed to others.

Plan means the subscription tier you hold, as identified in your account or order form, including any free tier.

Seat means one authorised named individual permitted to access the Platform under your Plan.

Subscription Period means the billing period for which you have paid, whether monthly or annual.

4. Agreeing to these terms

You agree to these terms by creating an account, accessing any part of the Platform, or paying for a Plan. If you do not agree, do not use the Platform.

If you agree on behalf of an organisation, you confirm you have authority to bind it, and it is bound as if it were you. Where an individual with apparent authority accepts these terms on an organisation's behalf, we are entitled to rely on that acceptance.

We are not obliged to accept any application, order or registration, and we may decline one in whole or in part without giving reasons.

Part B: The Platform

5. What Padel Genie provides

The Platform aggregates, structures, enriches and analyses information about the padel industry and the land, buildings and planning environment around it. Depending on your Plan and any applicable geography, it may include a court and venue directory, planning application tracking and alerts, build stage monitoring, catchment and isochrone analysis, demographic profiling, building and site intelligence, land ownership layers, occupancy and performance indicators, supplier and operator contact records, and periodic email digests.

We supply information and analysis. We do not take court bookings, handle payments between you and any club, act as an agent for any club, operator, landowner or supplier, or introduce parties to each other except where a separate sourcing agreement says so.

The composition of each Plan is configuration, not a promise. Features, datasets, layers, thresholds, scoring methods, geographic coverage, credit prices and tier gating change as the product develops, and a feature may move between tiers, be added, or be withdrawn.

6. Free access and the court directory

Some parts of the Platform are available at no charge, including the court and venue directory and a limited free Plan. Free access requires a registered account, and section 7 applies to it in full. Where we choose to make any page or feature available without an account, these terms still govern your use of it.

Free access is provided for your own personal use, or for your own internal business use where you are a Business Customer. We may change, limit, gate or withdraw any free feature at any time, and we may end free access under section 21 without any refund obligation, since nothing has been paid.

Availability, opening hours, pricing and facility information shown for a club originate with that club or its booking platform. We link you to the club to book. We are not responsible for the accuracy of that information, for the club's conduct, or for anything that happens after you follow a link away from the Platform.

7. Accounts, Seats and security

A Seat is personal to one named individual. It may not be shared, pooled, rotated between people, passed to a colleague who has left and been replaced without telling us, or accessed through a shared login, generic mailbox or credential vault available to more than the named individual.

Give us accurate information when you register, including whether you are acting as a business, and keep it up to date. You are responsible for everything done under your account, including by anyone you allow or fail to prevent from using it. Keep credentials confidential and tell us promptly at hello@padelgenie.io if you think an account has been compromised.

Where activity is inconsistent with the Seats you hold, or with normal human use, we may require re-authentication, apply rate limits, suspend the account, reduce access, or end it under section 22. Inconsistent activity includes concurrent sessions from unrelated locations, access patterns consistent with automated collection, request or page volumes materially above normal use, and unlock or export activity inconsistent with a single user.

We may inspect access logs, request volumes, usage counts and unlock history to verify compliance with this section, and we may ask you to confirm in writing who holds each Seat. Failure to respond to such a request within a reasonable period is itself a ground for termination under section 22.

8. Your licence

While your access is live and you are not in breach, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access the Platform and to use the information in it for your own internal business purposes, or for your own personal purposes if you are a Consumer Customer.

Internal business purposes includes evaluating sites, informing your own investment or development decisions, and circulating specific figures within your own organisation. It does not include supplying, publishing or selling the information or any Derived Output to anyone outside your organisation, and it does not include use on behalf of a client unless your order form says so.

No rights are granted other than those expressly set out. You acquire no ownership of any data, analysis, layer, score or report.

9. Restrictions

You must not, and must not permit or enable anyone else to:

  1. access the Platform by any automated means, including scrapers, crawlers, headless browsers, scripted sessions, browser automation and extensions that harvest content, or through any interface we have not formally provided to you;
  2. extract, copy or accumulate data at a scale or in a manner that amounts to systematic collection, whether in one operation or cumulatively;
  3. sell, licence, sublicence, syndicate, share, lend or otherwise make available the Platform, its data or any Derived Output to any third party;
  4. publish, broadcast, post or publicly display our data, Estimates, screenshots, maps or analysis, including in pitch documents, marketing, planning submissions, investor materials or press, without our prior written consent, which we may give on conditions including attribution;
  5. use the Platform, its data or any Derived Output with a Machine Processing System without our prior written consent, including for training, fine tuning, evaluation, inference, retrieval augmented generation, embedding, indexing or storage in any vector or similar database;
  6. reverse engineer, decompile, disassemble or attempt to reconstruct our methodology, scoring, weightings, source stack or pipeline, or attempt to identify our sources for the purpose of replicating them;
  7. use the Platform to build, train, benchmark, specify, price or market a product or service that competes with the Platform, or supply information from it to anyone doing so;
  8. remove, obscure or alter any attribution, notice, watermark or licence statement;
  9. circumvent or attempt to circumvent any Seat limit, credit allowance, rate limit, paywall, blur, gate or geographic restriction;
  10. interfere with the Platform's operation, security or infrastructure, or probe it for vulnerabilities without our written permission;
  11. use the Platform in breach of any law, or in breach of any third party's rights.

Breach of this section is a material breach. It may also infringe our copyright and database rights, in which case our remedies under section 32 apply in addition to those in Part D.

10. Deal Book Credits

Credits are a unit of account within the Platform. They are not money, not a payment instrument, not stored value, and not transferable or exchangeable. They have no cash value in any circumstances.

Your Plan carries a Credit allowance for each Subscription Period. Allowances reset on your billing date. Unused Credits do not roll over, do not accumulate, and are not refundable, in whole or in part, on cancellation, downgrade, suspension or termination, including termination by us under section 21.

Credits are consumed field by field at the prices shown in the Platform at the moment of unlocking. We may change field prices, allowances and what is unlockable at any time, and the price shown at the point of unlock is the price that applies.

We tell you which fields are held for a record before you spend, and we do not charge for an empty field. Once a field is unlocked it stays unlocked for you across the Platform without further charge, and we add improved values for that field at no cost. A change of employer creates new facts, and unlocking the new employer's email, telephone or job title is a new unlock.

If your paid access ends, unlocked fields stop being accessible to you. We retain the record of what you unlocked, and if you resubscribe we restore your unlocks. We are not obliged to retain that record indefinitely and may delete it after a reasonable period.

11. Contact Data and your obligations

Contact Data relates to identifiable individuals. Our supply of it to you does not make you our agent or us your processor.

You acknowledge and agree that:

  1. you act as an independent controller of Contact Data from the moment you access, unlock, export or otherwise use it, and you are solely responsible for establishing your own lawful basis for processing it;
  2. you will comply with the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003 in all use of Contact Data, including in relation to marketing consent and opt outs, and including where you use a third party to contact people on your behalf;
  3. you will provide the transparency information the UK GDPR requires when you first contact an individual, and will handle any objection, erasure request or opt out you receive yourself and promptly;
  4. you will not use Contact Data for any purpose outside the business context in which it was published, will not enrich it against consumer datasets, and will not upload it to any Machine Processing System;
  5. you will not represent to any individual that Padel Genie endorses, sponsors or has authorised your contact with them.

Individuals may object to our processing. Where they do, or where we conclude a record should no longer be published, we may remove or suppress it. We do not warrant that any record will remain available, and removal is not a defect in the Platform. If we tell you to stop using a specific record, you must stop, and must delete it from your systems so far as you are able.

Your indemnity at section 39 covers claims arising from your use of Contact Data.

12. Site sourcing engagements

Where we agree to source sites for you, that work is governed by a separate sourcing agreement setting out the deposit, monthly fee, guaranteed volumes, hold, submission and approval fees, per court uplifts, revenue shares, exclusivity and decline mechanics that apply to you.

Two points apply regardless of what the sourcing agreement says. First, fees triggered by an event that occurs after these terms or the sourcing agreement end remain payable where the site, landowner or opportunity was first introduced to you by us during the engagement, for 12 months after it ends. Second, you must not deal with an introduced landowner, agent or vendor other than through us, or restructure a transaction through an affiliate, nominee, joint venture or third party, where the effect or purpose is to avoid a fee that would otherwise be payable. If you do, the fee becomes payable as if the transaction had completed through us.

Part C: Commercial terms for paid subscriptions

13. Plans and Seats

Plans, Seat counts, Credit allowances and prices are as shown on the Platform or in your order form at the time you subscribe. Some Plans are sold only on an annual commitment and some only following a call.

Where we have agreed to hold a price for you for a stated term, we will honour it for that term.

Minimum terms and instalments. Where your order form states a minimum term, you are committed for the whole of it. We may collect the fees for that term in instalments, monthly, quarterly or otherwise, and collecting in instalments does not shorten your commitment, reduce the total payable, or convert your Plan into a rolling one. For a Plan with a minimum term, the Subscription Period for the purposes of sections 15, 16 and 21 is the minimum term itself, and each instalment is a payment on account of the fees for that term.

14. Fees, VAT and payment

Paid Plans are billed in advance for each Subscription Period. Annual Plans are billed annually in advance unless your order form says otherwise.

Prices shown on the Platform are exclusive of VAT unless expressly stated. We will add VAT at the prevailing rate where it applies. Where a price has been individually quoted, the quotation states whether it is inclusive or exclusive of VAT.

Payment is taken by Stripe Payments Europe Ltd. By subscribing you also accept Stripe's terms. We do not see or store your full card details.

You must pay invoiced amounts in full, in cleared funds, without set off, deduction, counterclaim or withholding of any kind. Where you are a Business Customer, we may charge interest on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998, and recover our reasonable costs of collection.

If a payment fails, Stripe will retry it over several days. If it cannot be collected, we may downgrade, restrict or suspend your access. You will not be charged again for the uncollected period, and access for that period simply does not continue.

15. Free trials, renewal, upgrades and downgrades

Free trials. Where a Plan is shown as including a free trial, a first subscription to that Plan may begin with a trial of the length shown at the time you subscribe. A trial is available once per organisation and once per payment card. A payment card is required to start a trial, and by starting one you authorise us to charge the fees for your first Subscription Period to that card when the trial ends, unless you have cancelled before then. If you cancel during a trial, your access continues to the end of the trial and nothing is charged. We may end a trial early under section 19 or section 22, and we may change or withdraw trial offers at any time without affecting a trial that has already started.

Renewal. Subscriptions renew automatically at the end of each Subscription Period until cancelled.

Upgrades and downgrades. You may upgrade or downgrade through your account. Upgrades take effect immediately, and we charge the difference for the remainder of the current Subscription Period. Downgrades take effect at the end of the current Subscription Period, and you keep your existing access until then. Downgrading reduces your Seats and Credit allowance from the date it takes effect, and Credits above the new allowance are lost.

Price changes are dealt with in section 40.

16. Cancelling, and refunds

You may cancel at any time through your account. Cancellation takes effect at the end of your current Subscription Period. You keep access until then, after which your account reverts to free access.

Because access continues to the end of the period you have paid for, fees already paid for that period are not refunded where you cancel or downgrade. Credits are not refunded.

Where your Plan has a minimum term under section 13, cancellation takes effect at the end of that minimum term, not at the end of the instalment period you are in. All instalments for the minimum term remain payable, on the dates set out in your order form or, at our election, immediately. This is payment for the term you contracted for, not a charge for cancelling.

This section does not apply where we end your subscription under section 21, or where section 17 or section 40 gives you a refund.

17. Cancellation rights for Consumer Customers

This section applies only if you are a Consumer Customer. The Platform is designed, priced and marketed for business use, so a paid subscription is presumed to be a Business Customer subscription. You do not need to declare consumer status in advance, but we may ask you to evidence it before applying this section.

If you are a Consumer Customer, you have 14 days from subscribing to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Email hello@padelgenie.io to do so.

By accessing the Platform during those 14 days you expressly request that we begin supplying it immediately, and you acknowledge that you lose the right to cancel once it has been fully supplied. If you cancel within 14 days having used the Platform in part, we may charge a proportionate amount for what you used, including Credits spent.

Nothing in these terms affects your statutory rights as a consumer.

Part D: Term, suspension and ending the agreement

18. Term

These terms apply from the first time you access the Platform and continue until your access ends under this Part. Where you hold a paid Plan, the contract term is the current Subscription Period and each renewal of it.

19. Suspension

We may suspend or restrict your access, in whole or in part, immediately and without notice, where we consider that there has been a breach of section 7, 9, 10, 11 or 12, where payment is overdue, where suspension is necessary to protect the Platform, our data, our licensors or other customers, or where we are required to suspend by law or by a third party licensor.

Suspension is not termination and does not reduce your payment obligations for the suspended period. If we suspend and then conclude there was no breach, we will restore access and extend your Subscription Period by the suspended days.

20. Ending by you

You may end your subscription by cancelling under section 16. You may end free access at any time by stopping use and asking us to close your account.

21. Ending by us at our discretion, and if we stop

Our right to end. We may end these terms, your account, your subscription, or any Seat, Plan, dataset, layer, feature or geography within it, at any time and for any reason or for no reason, by written notice to you. Notice takes effect on the date it states, which may be immediate. We are not obliged to give, and will not necessarily give, any reason, and the exercise of this right is not open to challenge on the basis that no reason was given or that a reason given was insufficient.

What you get back. Where you hold a paid Plan and we end it under this section while you are not in breach, we will refund the unused portion of the fees you have paid for the then current Subscription Period, calculated on a daily pro rata basis to the effective date of termination. In plain terms, you keep the value of what you have used and we return the rest. If we end a 12 month Plan after three months, we refund three quarters of the annual fee. If we end a monthly Plan halfway through a month, we refund half that month. Credits are not refunded, and nothing is refundable in respect of free access.

If we stop. The same applies if we cease to provide the Platform, cease trading, or permanently withdraw the Plan you hold. We will end your subscription under this section and refund on the same pro rata basis, and we will do so whether the decision to stop is commercial, strategic or otherwise. This obligation assumes we are solvent at the time it arises. It does not give you any preference, security, charge or priority over any other creditor, and on the appointment of an administrator, liquidator or similar officeholder it ranks only as an unsecured claim.

Consumer Customers. Where you are a Consumer Customer holding a paid Plan, we will give you at least 30 days' written notice before ending it under this section, and will refund on the same pro rata basis.

Sole remedy. The refund under this section is your sole and exclusive remedy for termination under it, and we have no further liability of any kind arising from it, including for any loss of profits, savings, opportunity, business, contracts, goodwill, transaction, planning position, data or reliance. You accept that access to the Platform may end at any time and should not build any process, commitment or obligation on the assumption that it will continue.

No obligation to supply. Nothing in these terms obliges us to offer, continue or renew any Plan, feature or dataset, or to accept any renewal, reinstatement or new application from you or from anyone connected with you.

22. Ending by us for cause

We may end these terms and your access immediately, without notice and without refund of any kind, where we consider that:

  1. you are in breach of section 7, 9, 10, 11 or 12, or are acting in a way likely to lead to such a breach. This includes your data usage or access volume being excessive or inconsistent with the Seats you hold, your account showing unusual patterns of behaviour, you building or preparing a product or service that competes with the Platform, or Platform data being put through a Machine Processing System;
  2. you are in material breach of any other provision of these terms;
  3. a payment has remained outstanding for more than 14 days after we told you it was overdue;
  4. there has been fraud, or misrepresentation of identity or of Consumer Customer status, or unlawful use;
  5. your conduct is likely to damage the Platform, our data, our licensors, our reputation or other customers; or
  6. you are a company and you have become insolvent, entered administration or liquidation, had a receiver appointed, or suspended or ceased carrying on business, or the equivalent has occurred in your jurisdiction.

We decide whether any of the above applies. We are not required to give you an opportunity to put it right first, to prove the position, or to disclose the evidence, logs, analysis or reasoning behind our decision. Our decision is conclusive as to whether any refund is payable under section 21, unless you show that it was made in bad faith.

Where we end your access under this section, all fees for the current Subscription Period remain payable, any annual commitment accelerates and falls due immediately, and no refund of any kind is due. Ending under this section does not limit any other remedy available to us, including under section 32.

23. Consequences of ending

On ending, for any reason:

  1. your licence under section 8 ends immediately and you must stop accessing the Platform;
  2. you must stop using, and delete from your systems so far as you are able, all data, exports, extracts and Derived Output taken from the Platform, except that you may retain internal records, board papers and transaction files already created in the ordinary course, on the basis that you do not further circulate or re-use the underlying data;
  3. Credits and unlocked fields cease to be accessible, subject to section 10;
  4. all sums owed to us become immediately payable, including any fee payable under section 12;
  5. we may delete your account, account content and usage history after a reasonable period, and are not obliged to retain or export anything for you.

If you ask us in writing within 14 days of termination, we will use reasonable efforts to provide a one off export of records you unlocked before termination. We may charge a reasonable fee for this and may decline where termination was under section 22.

24. Survival

Sections 1, 2, 3, 8 (as to breach before termination), 9, 10, 11, 12, 14, 23, 24, 25, 26, 27, 28, 29, 31, 32, 33, 34, 35, 36, 37, 38, 39, 41, 43, 44, 45 and 46 survive termination.

Part E: Data, accuracy and risk

25. Where our data comes from, and attributions

The Platform is built from publicly available and licensed sources, including public planning registers and local authority records, land and property registers, public geospatial and environmental datasets, official statistics, mapping and open data projects, booking platforms, club and operator websites, public business registers, and third party commercial data services. Our value lies in selecting, matching, structuring, enriching, scoring and presenting this material, not in holding privileged access to it.

Some datasets reach us under licences that restrict onward supply, require attribution, or prohibit particular uses. Where the Platform displays an attribution or licence notice, you must preserve it in any permitted internal use. You must not extract, isolate or redistribute any third party dataset from the Platform separately from our own analysis, and you must not use any third party dataset from the Platform in a way that would breach that dataset's licence had you obtained it directly. Where a licensor changes its terms or withdraws a dataset, we may remove the affected data without notice and without that being a defect in the Platform.

Detailed methodology notes, where published, are available within the Platform.

26. Coverage is best efforts

We aim to track the padel estate and the planning and land environment around it as comprehensively as is practicable from the sources available to us. Coverage is best efforts and is not exhaustive.

Records that may be absent at any time include private, members only and residential clubs that do not list publicly, venues not yet opened or not yet indexed, venues that have closed or paused, venues absent from the booking platforms and listings we monitor, applications not yet published or published in a form we cannot parse, buildings and sites outside our current data footprint, land held by individuals rather than corporate entities, and any record where the underlying public information is incomplete, inconsistent or contradictory.

We do not warrant that any specific venue, court, court count, application, operator, contact, building, parcel or site will appear in the Platform at any time. Absence of a record is not evidence that the thing does not exist. Presence of a record is not evidence that it remains current. Some geographies and datasets cover Great Britain only and exclude Northern Ireland, and benchmarks are labelled accordingly.

Where we label data as unconfirmed, modelled, estimated, partial or pre opening, you must treat it as such and must not present it to any third party as confirmed.

27. Good faith, and the nature of Estimates

Good faith, no representation of accuracy. We compile, structure and publish the Platform in good faith, using methods we consider reasonable, and we correct errors we become aware of within a reasonable time of becoming aware of them. Subject to that, we make no representation, warranty, condition or commitment of any kind that anything on the Platform is accurate, complete, current, precise, consistent or fit for any purpose. All data is supplied for indicative market context only.

Estimates are estimates. Figures including occupancy, peak occupancy, revenue and revenue per court, court counts, catchment population, demographic profiles and padel fit scores, drive and walk times and the boundaries of any isochrone, approval likelihoods, build stage, eaves height, floor area, site area and site suitability, and the attribution of ownership or of an applicant to a company, are produced by our own analysis of publicly available information. They are Estimates. They are not, and must not be treated as, any club's or operator's actual accounts, management information, audited figures or verified financials, and they are not any representation made by that club, operator, owner or applicant.

Why they are imperfect. By their nature these figures carry limitations, which include: aggregation across sources of differing quality, coverage and vintage; modelling and inference where no public record exists; rounding, banding, smoothing and the use of representative rather than actual values; approximation of boundaries, and network, speed and departure time assumptions in travel time analysis; statistical and census data that is collected at intervals and projected forward between collections; matching records across sources that share no common identifier, which can produce mismatches; periodic rather than real time refresh; and a market that changes faster than any dataset covering it, as venues open, close, change hands, change pricing and change capacity.

Individual figures may be wrong. You accept that a method can be reasonable in general and still produce a figure that is materially wrong in a particular case, and that we do not warrant any individual figure. Nothing on the Platform is a guarantee, promise, projection or forecast of performance, of planning outcome, or of the viability of any site or venture.

Verify before you rely. You are responsible for verifying anything on which you intend to rely, including by obtaining title, survey, planning, valuation, tax, accounting and legal advice from suitably qualified professionals, and by approaching the relevant club, owner, authority or register directly.

28. Not professional advice

The Platform is information and analysis. It is not financial, investment, valuation, planning, legal, tax, surveying, engineering or other professional advice, and using it does not create a professional or advisory relationship between us. We do not recommend or endorse any site, venue, transaction, operator, supplier or course of action.

29. Our own commercial interests

You should know that we and our directors, group companies and connected persons have interests in the padel sector beyond operating the Platform. These may include developing, owning, operating or investing in padel clubs and venues, providing site sourcing services to more than one customer, and holding commercial relationships with suppliers, booking platforms, operators and investors, including customers of the Platform.

We provide the Platform non-exclusively. We do not act for you, and we owe you no duty of exclusivity, priority, or first refusal, and no fiduciary duty, unless a separate signed agreement expressly says so. We may act for, supply, source for, or compete with anyone, including you. We are under no obligation to withhold, delay, degrade or reserve any data, site, opportunity or insight from any other customer, or from ourselves, because of your interest in it, and the fact that a site or opportunity appears in the Platform does not mean it is available to you or that it has not been shown to others.

Where a separate sourcing agreement grants you exclusivity over a territory or a right of first refusal, that agreement governs the extent of it.

30. Availability, early access and changes to the Platform

The Platform is under active development and parts of it are supplied on an early access basis. During early access you should expect datasets to be incomplete or under refinement, features to change or be withdrawn, calculations and scoring to be revised, and report formats to change. By subscribing during this phase you accept those conditions.

We aim for high availability but do not offer a contractual service level agreement, guaranteed uptime, guaranteed refresh frequency, or guaranteed support response times unless your order form says otherwise. We may suspend access for maintenance, security work, or events outside our reasonable control, and will give reasonable notice of planned maintenance where practical.

We may modify, replace, recalculate, degrade, re-gate or remove any data, feature, layer, report or integration at any time, on such notice as is reasonable in the circumstances, which may be no notice at all.

If we permanently withdraw a paid Plan to which you subscribe, or cease to provide the Platform, section 21 applies and you receive a pro rata refund of the unused part of what you have paid. That refund is your sole and exclusive remedy.

31. Third party content and links

The Platform links to and displays material from third parties, including club websites, booking platforms, planning portals and public registers. We do not control those sources and are not responsible for their content, accuracy, availability, security or practices, or for anything that happens once you leave the Platform. Following a link is at your own risk.

Part F: Rights, confidentiality and liability

32. Intellectual property and database rights

We own, or are licensed to use, all intellectual property in the Platform, including its software, interfaces, design, methodology, models, scoring, weightings, taxonomies, matching logic, report layouts, and the selection, structure, verification and arrangement of the data in it. This is protected by copyright, database right under the Copyright and Rights in Databases Regulations 1997, trade mark and other rights.

Nothing in these terms transfers any of those rights to you. In particular, extraction or re-utilisation of all or a substantial part of the contents of our databases, whether in one act or repeatedly and systematically in parts, infringes our database right.

Club, operator, supplier and booking platform names, logos and images shown in the Platform belong to their owners and appear for identification only.

Where you create Derived Output, you own the original expression you add. We continue to own everything you took from us that it embodies, and your rights over Derived Output do not give you any right to circulate, publish or supply the underlying data.

Given the nature of the harm, you accept that damages alone may be an inadequate remedy for a breach of section 9 or this section, and that we may seek injunctive relief without having to prove financial loss.

33. Feedback

If you send us suggestions, comments, feature requests, bug reports, corrections or other feedback about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty free, sublicensable licence to use and incorporate it into our products and services, with no obligation of confidence, attribution or payment. This does not apply to your confidential business information, which stays confidential under section 35.

34. Publicity and customer references

While you hold a paid Plan, you grant us a non-exclusive, worldwide, royalty free licence to use your name, trading name and logo solely to identify you as a customer of Padel Genie, for example on our website, in customer lists, and in partner or investor materials. Where you give us brand guidelines we will follow them so far as reasonably practicable.

This identifies you as a customer only. It does not imply that you endorse us, and we will not present it as endorsement.

It does not permit us to publish a quotation attributed to you or your people, a case study, a statement of opinion attributed to you, or any performance figures relating to your own business. We will ask for your written consent for each of those, and you may withdraw that consent at any time.

You may withdraw the permission in this section at any time by emailing hello@padelgenie.io. We will remove your name and logo from materials under our control within 30 days. We are not required to recall, alter or destroy material already printed or distributed, or to amend archived or historical material, and we may continue to refer to the period during which you were a customer.

This section concerns your branding as our customer. It is separate from our use of third party club and supplier branding inside the Platform, which is covered by section 32.

35. Confidentiality

Each party may receive information from the other that is confidential. Ours includes the Platform's non-public features, methodology, sources, scoring, roadmap, pricing where individually agreed, and any report or dataset not publicly available. Yours includes non-public information about your business, sites, pipeline and plans that you share with us.

Each party will keep the other's confidential information confidential, use it only for the purposes of these terms, and disclose it only to people within its organisation who need it and are bound by equivalent obligations. This does not apply to information that is or becomes public through no breach, was already lawfully held, is independently developed without reference to it, or must be disclosed by law or regulation, in which case the disclosing party will give notice where lawfully able.

These obligations continue for three years after termination, and indefinitely in respect of anything that is a trade secret.

36. Data protection

We process personal data as described in our Privacy Policy. For your account and billing information we act as controller.

We currently use the following categories of sub-processor and service provider: Cloudflare (hosting, storage, database and delivery), Stripe Payments Europe Ltd (payments), Resend (transactional and digest email), Google (federated sign in where you use it), PostHog (product analytics and session recording, in its EU region), TravelTime Technologies Ltd (drive-time catchments for a location you choose), Bouncer, ZeroBounce and DeBounce (checking whether a business email address accepts mail), and Brave Search (web searches for business contacts). We may change providers, and will keep the Privacy Policy current.

The Platform is read only as to your own data. You do not upload personal data into it, so we do not act as your processor. Where that changes, we will put a data processing agreement in place before it does.

Your obligations as an independent controller of Contact Data are in section 11.

37. Warranties and disclaimers

The Platform is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we exclude all warranties, conditions, terms and representations not expressly set out in these terms, whether implied by statute, common law or otherwise, including any implied warranty of accuracy, completeness, currency, satisfactory quality, fitness for a particular purpose, non-infringement, or uninterrupted or error free operation.

We do not warrant that the Platform will meet your requirements, that any site, venue, opportunity or contact in it is available, viable, developable, contactable, accurate or suitable, or that any Estimate will prove correct.

If you are a Consumer Customer, this section does not affect your statutory rights.

38. Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for any liability that cannot lawfully be limited, or, where you are a Consumer Customer, for anything that cannot be limited under the Consumer Rights Act 2015.

Subject to that, and to the fullest extent permitted by law:

  1. we are not liable for any loss, damage, cost or expense arising from any decision, investment, acquisition, transaction, bid, planning submission, development, outreach campaign or other action you take or refrain from taking in reliance on the Platform, its data or its Estimates;
  2. we are not liable for any inaccuracy, incompleteness, omission, staleness, rounding, mismatch or error in any data or Estimate, or for any consequence of it;
  3. we are not liable for loss of profits, revenue, anticipated savings, business, contracts, opportunity, goodwill, reputation, data, or for any indirect, consequential, special, incidental, exemplary or punitive loss, however arising, whether or not foreseeable, and whether in contract, tort including negligence, breach of statutory duty, misrepresentation, restitution or otherwise;
  4. we are not liable for the acts, omissions, content, accuracy or availability of any third party source, licensor, club, operator, supplier, landowner, booking platform or public register;
  5. our total aggregate liability arising out of or in connection with these terms and the Platform in any 12 month period is limited to the total fees you actually paid us in the 12 months immediately before the event giving rise to the claim, or £100 where you paid nothing.

These limits apply to all claims in aggregate, not per claim.

You accept that you use the Platform at your own risk, that you are solely responsible for your own decisions, and that the allocation of risk in this section and in sections 27, 30, 37 and 39 is reflected in our pricing.

39. Indemnity from you, and no indemnity from us

By you. You will indemnify us, our directors, employees and contractors against all losses, damages, costs and reasonable legal fees arising from any third party claim connected with: your breach of section 9, 11 or 12; your use, export, publication or redistribution of any data, Estimate or Derived Output; your contact with, or marketing to, any individual whose details you obtained through the Platform; or any allegation that something you published, derived or supplied from the Platform infringes a third party's rights or caused them loss.

No indemnity from us. We give no indemnity of any kind, and none is to be implied. We do not defend, indemnify or hold you harmless against any claim by any person, including any claim that your access to or use of the Platform, or of any data in it, infringes that person's intellectual property, database, privacy, confidentiality or other rights. You are responsible for your own defence and your own costs in any such claim.

What we will do instead. If a third party asserts a claim of that kind, or we consider one is likely, we may at our option remove, modify or replace the affected data, layer or feature, or end the affected part of your subscription with a pro rata refund under section 21. Those steps, and that refund, are your sole and exclusive remedy in respect of any third party claim relating to the Platform or its data.

If we ever agree otherwise. Any indemnity, defence or hold harmless obligation on our part is effective only if it is set out expressly in an order form or other document signed by a director of Breakfast Enterprises Ltd, and is in any event subject to the cap in section 38.

Conditions. Your indemnity is conditional on us promptly notifying you of the claim in writing, and you giving us reasonable cooperation at your cost. We may conduct our own defence, and you will not settle any claim in a way that imposes any obligation or admission on us without our prior written consent.

Part G: General

40. Changes to these terms

We may change these terms, our policies, our prices and the Platform.

Business Customers. A change takes effect on the date stated in our notice or, where no date is stated, when we post the updated terms. A change may take effect immediately. We do not commit to any minimum notice period. Where a change materially reduces the access or functionality you are paying for and you are unwilling to accept it, you may tell us within 14 days of the change taking effect and we will end your subscription under section 21 with a pro rata refund.

Price changes. A change of price never applies to a Subscription Period you have already paid for. It takes effect at your next renewal, and we will tell you before that renewal. Where we have agreed to hold a price for a stated term, section 13 applies.

Consumer Customers. We will give at least 30 days' notice of a change that materially affects your rights or obligations, and you may cancel before it takes effect and receive a pro rata refund of the unused part of what you have paid.

Continued use after a change takes effect is acceptance of it. We will update the date at the top of this page.

41. Notices

We may give notice by email to the address on your account, by message within the Platform, or by post to the address you gave us. Email notice is deemed given on the day it is sent unless we receive a delivery failure.

You must give notice to hello@padelgenie.io, or by post to our registered office. Keep your account email current. A notice we send to a stale address you failed to update is still validly given.

42. Events outside our control

Neither party is liable for failure or delay caused by an event outside its reasonable control, including power, network, hosting or upstream provider failure, cyber attack, third party data source withdrawal or outage, act of government or regulator, industrial action, epidemic, fire, flood or act of war. Your payment obligations are not suspended by this section.

43. Assignment

You may not assign, transfer, charge, subcontract or deal in any way with your rights or obligations under these terms without our prior written consent, and any attempt to do so is void. A change of control of your business is a transfer for these purposes and requires our consent.

We may assign, transfer or novate our rights and obligations, in whole or in part, to any group company or to any successor in connection with a merger, acquisition, sale of assets or reorganisation, on notice to you.

44. Relationship and third parties

Nothing in these terms creates a partnership, joint venture, agency, employment or fiduciary relationship between us.

These terms do not confer any right on anyone who is not a party to them, and the Contracts (Rights of Third Parties) Act 1999 does not apply, except that our directors, employees and contractors may enforce section 39.

45. Entire agreement, severance and waiver

These terms, together with our Privacy Policy and any order form you have accepted, are the entire agreement between us about the Platform and supersede anything said or written before, including any statement, demonstration, sample report, proposal or marketing material. You confirm you have not relied on any representation not set out in these terms, though nothing in this section limits liability for fraudulent misrepresentation.

If any provision is held unenforceable, it is severed to the minimum extent necessary and the rest continues in force. Failure or delay in enforcing a right is not a waiver of it, and no waiver is effective unless in writing.

46. Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or their subject matter, including non-contractual disputes, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a Consumer Customer resident in Scotland or Northern Ireland you may also bring proceedings in your own courts.

Before issuing proceedings, each party will use reasonable efforts to resolve the dispute by discussion between people with authority to settle it. This does not prevent either party from seeking urgent injunctive relief at any time.
